When it mattered

Data processing agreements and a DPO arrangement on regulated health data, and the corporate housekeeping behind investment: the founders agreement, share options and investor documents.

Where the pressure is

An AI company selling into healthcare signs a great deal of paper. Every enterprise customer wants its own master service agreement, every partner and reseller its own terms, and each one arrives drafted for the other side. Regulators set the boundaries of what the product may do with data, and the workforce is a mix of employees, consultants and contractors in more than one country. When a lawyer charges by the hour, each of those becomes a reason not to ask.

What we did

Around thirty matters a year, on one annual plan. The pattern is a company that asks early rather than late.

  • Master service agreements, SaaS subscription terms and terms of service, reviewed and negotiated with customers and suppliers
  • Sales, reseller, referral and channel partner agreements, commission and consultancy agreements, and a steady run of NDAs
  • Data processing agreements, a DPO service arrangement and compliance reviews on regulated data integration and data access
  • Corporate housekeeping: articles, shareholder resolutions, board minutes, signing authority, the founders agreement, share options and investor documents
  • A full set of workplace policies (conduct, anti-bribery, procurement, expenses) plus consultancy, advisory and IR35 reviews

Illustrative figures based on the pattern of work each client brings, not a statement of their account. A matter is one complete piece of legal work with a deliverable. Each illustration uses the plan indicated by the client’s size, and covers the period they have been with us rather than a projected year, with the plan’s matter allowance applied pro rata to that period. The Lawyerly figure is the published plan price for that period, plus our published fixed fees at that plan’s subscriber discount for any matters beyond the allowance. The comparison applies the Guideline Hourly Rate for a Grade C solicitor in London 1, £305 an hour from 1 January 2026, at an average of four and a half hours a matter. Guideline Hourly Rates are set by the courts for the assessment of costs and sit below commercial rates, so the comparison is conservative. Matter counts come from our case system, September 2026. Each client has approved the use of their name.
